Welcome to Acorn. These Terms of Service ("Terms") govern your access to and use of the Acorn platform, including any websites, mobile applications, and services offered by Acorn ("Services"). Please read these Terms carefully before using our Services.

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

We may modify these Terms at any time. If we make changes, we will provide notice of such changes, such as by sending an email notification, providing notice through the Services, or updating the "Last Updated" date at the beginning of these Terms. Your continued use of the Services following notification of changes will constitute your acceptance of such changes.

2. Account Registration and Security

To use certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4. Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Acorn, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials;
• You may store files that are automatically cached by your Web browser for display enhancement purposes;
• You may print or download one copy of a reasonable number of pages of the Services for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

5. User Content

Our Services may allow you to create, post, store, and share content, including messages, text, photos, videos, software, and other materials (collectively, "User Content"). You retain all rights in and to your User Content, as between you and Acorn.

By creating, posting, storing, or sharing User Content, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, modify, create derivative works based upon, distribute, publicly display, and publicly perform your User Content in connection with operating and providing the Services.

You represent and warrant that you have all rights necessary to grant the licenses above and that your User Content does not violate any law or infringe the rights of any third party.

6. Subscription and Billing

Some of our Services may require a subscription. By subscribing to our Services, you agree to pay the subscription fees as described at the time of purchase. Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms.

We may change subscription fees from time to time, but changes will not apply retroactively. If we change subscription fees, we will provide notice of the change on the Services or by email at least 30 days before the change takes effect.

You authorize us to charge the payment method you provide to us for all applicable fees. If your payment cannot be completed, we may suspend or terminate your access to the Services.

7. Termination

We may terminate or suspend your access to all or part of the Services, without notice, for any conduct that we, in our sole discretion, believe is in violation of these Terms or is harmful to other users of the Services, us, or third parties, or for any other reason.

You may terminate your account at any time by contacting us at support@acorn.io. Upon termination, your right to use the Services will immediately cease.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ACORN DOES NOT WARRANT THAT THE SERVICES ARE ERROR-FREE OR THAT ACCESS THERETO WILL BE UNINTERRUPTED.

9. Limitation of Liability

IN NO EVENT WILL ACORN, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule.

11. Dispute Resolution

Any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration in San Francisco, California, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
